1. Acceptance of Terms

These Terms of Service (\\"Terms\\") constitute a legally binding agreement between you (an individual or the entity you represent) and {COMPANY} (\\"OrangeCore,\\" \\"we,\\" \\"us,\\" or \\"our\\") governing your access and use of the OrangeCore platform, website, and related services (collectively, the \\"Service\\").

By creating an account, purchasing credits, or otherwise accessing the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

OrangeCore provides AI-powered property intelligence tools for roofing contractors and related professionals, including:

• Roof Measurements: AI-generated measurements of roof area, pitch, planes, and related dimensions from satellite imagery
• Property Reports: Comprehensive property intelligence reports including property data, permit history, and structural details
• Permit Intelligence: Access to building permit records and permit activity data for target properties
• Additional services as announced periodically

The Service is provided on-demand, with pay-per-use. There are no mandatory subscriptions or long-term contracts for the current Service offering. We reserve the right to introduce subscription-based plans in the future, which will be subject to separate terms.

3. Accounts and Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account. OrangeCore is not responsible for any loss or damage arising from unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activities.

4. Credits, Payments, and Refunds

4.1 Credit System

The Service operates on a prepaid credit system. You purchase credit packages in advance and use them to request reports and measurements. Credit prices and the credit cost per service type are displayed on our Pricing page and within the application.

4.2 Payments

All payments are processed by Stripe, Inc. By providing payment information, you authorize OrangeCore to charge the specified amount via Stripe. All prices are in U.S. dollars and exclude applicable taxes unless otherwise stated.

4.3 Credit Expiration

Purchased credits do not expire under normal circumstances. We reserve the right to implement expiration policies with at least 90 days' prior notice to affected users. Credits obtained through promotional offers may have different expiration terms, which will be disclosed at the time of the promotion.

4.4 Refund Policy

To request a refund or credit restoration, contact [email protected] within 30 days of the transaction.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to generate property reports for properties in which you do not have a legitimate professional interest
• Resell, redistribute, or sublicense reports or data obtained through the Service without our written consent
• Attempt to reverse engineer, data mine, or scrape information from the Service in bulk through automated means
• Use the Service to harass, stalk, or invade the privacy of any person
• Circumvent access controls, rate limits, or security measures
• Use the Service in any manner that could damage, disable, or impair our infrastructure
• Misrepresent your identity or affiliation when using the Service
• Use the Service for any purpose that violates applicable local, state, national, or international law

Violation of this section may result in immediate account termination and, where applicable, legal action.

6. Intellectual Property

OrangeCore Intellectual Property: The Service, including its software, AI models, algorithms, design, trademarks, and all content created by OrangeCore, is owned by {COMPANY} and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.

Your Reports: Reports generated through your use of the Service are licensed to you for your internal business use. You may share individual reports with your clients as part of your professional services. You may not resell or commercially distribute reports as a standalone product.

Feedback: If you submit suggestions, ideas, or feedback about the Service, you grant OrangeCore a perpetual, royalty-free license to use that feedback for any purpose without compensation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Property data used to generate reports comes from publicly available records, licensed data providers, and satellite imagery. OrangeCore does not guarantee the completeness or currency of the underlying public records.

8. Accuracy Disclaimer

OrangeCore's AI measurement engine aims for ±2% accuracy on residential roofs under standard conditions. However, accuracy may vary depending on satellite image quality, roof complexity, vegetation cover, and other factors beyond our control.

Reports generated by the Service are intended as professional estimation tools and should not be used as the sole basis for construction contracts, insurance claims, or legal proceedings without independent verification.

OrangeCore is not responsible for any loss, damage, or claim arising from reliance on report data without independent verification by a licensed professional.

9. Disclaimer of Warranties

ORANGECORE NO GARANTIZA QUE EL SERVICIO SEA ININTERRUMPIDO, LIBRE DE ERRORES O LIBRE DE VIRUS U OTROS COMPONENTES DAÑINOS.

10. Limitation of Liability

EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, ORANGECORE Y SUS DIRECTIVOS, DIRECTORES, EMPLEADOS Y AGENTES NO SERÁN RESPONSABLES DE NINGÚN DAÑO INDIRECTO, INCIDENTAL, ESPECIAL, CONSECUENTE O PUNITIVO, INCLUYENDO PÉRDIDA DE BENEFICIOS, DATOS O REPUTACIÓN, QUE SURJA DE O EN CONEXIÓN CON TU USO DEL SERVICIO.

EN NINGÚN CASO LA RESPONSABILIDAD TOTAL DE ORANGECORE HACIA TI POR TODAS LAS RECLAMACIONES EXCEDERÁ EL MAYOR DE (A) EL MONTO QUE PAGASTE A ORANGECORE EN LOS 12 MESES ANTERIORES A LA RECLAMACIÓN, O (B) CIEN DÓLARES ESTADOUNIDENSES ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless OrangeCore and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

By You: You may cancel your account at any time by contacting [email protected]. Upon cancellation, unused credits will be proportionally refunded if requested within 30 days.

By OrangeCore: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activities, or if we are required to do so by law. In cases of non-material violations, we will provide 30 days' notice and an opportunity to cure the violation.

Upon termination, your right to access the Service immediately ceases. Sections 6, 8, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Informal Resolution: Before initiating any formal dispute, you agree to contact us at {EMAIL} and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If informal resolution fails, disputes will be resolved by binding individual arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). You waive any right to participate in class action lawsuits or class arbitration.

Nothing in this section prevents either party from seeking injunctive relief or other equitable remedies in a court of competent jurisdiction to prevent irreparable harm.

14. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to registered users and a prominent notice on our website. Your continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms.

If you disagree with the updated Terms, you must stop using the Service and may request a refund of unused credits within 30 days of the notice.
